0. WEBSITE ACCOUNT - The account provided to you or obtained by self-registration is non-transferable and intended for use by the named person on the account. Sharing the account with unauthorized user(s) will render the account suspension pending further investigation. If determined that account was transferred to an unauthorized user Quality Wholesale Ltd., DBA Eddi’s Wholesale Garden reserves the right to pursue legal actions for damages incurred.
1. AGREEMENT SCOPE - These terms govern all sales and supersede any terms on Customer purchase orders. Eddi’s may amend these terms via email, invoice hyperlink, or website posting. Continued purchasing constitutes acceptance.
2. PURCHASING PARAMETERS - Eddi’s sells exclusively to wholesale B2B customers. Customer must maintain $5,000 in annual purchases. Eddi’s may refuse orders or close accounts at its discretion. Prices apply at shipment and exclude taxes and freight.
3. PURCHASE ORDERS AND SPECIAL ORDERS - Accepted purchase orders are binding. Approved cancellations incur a restocking fee. Non-stocked items are Special Orders. These are strictly non-cancellable and non-refundable. Customer accepts liability for 100% of the ordered quantity. Advance payment may be required.
4. PRICING/PRODUCTS - All prices are in Canadian dollars, based on present market conditions and subject to change without notice. We strive to provide 30 days notice whenever possible. All pricing discrepancies should be reported to our office within 72 hours of product receipt. Prices do not include applicable taxes or fees. Show/Expo and Spring Booking Catalogue prices are valid during dates specified.
5. FREIGHT AND CLAIMS - Risk of loss and title transfer to Customer upon tender to the carrier. Warehouse pickups are prohibited.
- Freight Charges: Customer pays freight unless the order meets prepaid minimums. Bulky items (soil, media) never qualify for prepaid freight. Customer pays all accessorial carrier fees (hazmat, drop ship, residential).
- Inspections: Customers are required to make a complete inspection of the shipment at the time of arrival/receiving for any damages. If unable to inspect, sign "STIC" (Subject to Inspection and Count).
- Claim Window: All damage claims must be communicated to our Returns Department within 48 hours of delivery/acceptance of the product with a copy of the waybill signed by the delivery driver with damages noted.
- Pallet Security: Eddi’s wraps pallets in shrink wrap with security branded tape. Customer must inspect the pallet with the driver if the wrap is compromised or sealed with clear tape.
6. WARRANTIES AND RETURNS - Eddi’s passes third-party manufacturer warranties to Customer but assumes no liability for denied claims, return shipping, or labor. Returns require a Return Merchandise Authorization (RMA) or will be rejected. A Return Authorization must be obtained prior to sending any defective or unused products back to Eddi’s Wholesale Garden Supplies. All merchandise shall remain the property of Quality Wholesale Ltd., DBA Eddi’s Wholesale Garden Supplies until the account has been paid in full. Approved non-defective returns must be new, unopened, under three months old, and currently stocked. A 20% restocking fee will be applied to all non-defective returned merchandise and all freight charges will be the customer’s responsibility.
7. FINANCIAL TERMS AND SECURITY INTEREST - Terms are Prepay in Advance unless credit is approved.
- Interest: Past due balances accrue interest at 2% per month 24% annually.
- Payments: Accepted payments include cheque, wire, EFT/PAD, Visa, MasterCard and Amex. Credit Card payments incur a
3% fee on all invoices, Returned Cheques or failed EFTs incur a $50 fee. - Collections: Any balance outstanding for 90 days past due will be issued a Final Demand Notice and may be referred immediately to a third‑party collection agency. Customer pays all collection, legal and any accrued interest.
- Security Interest: Customer grants Eddi’s a Purchase Money Security Interest (PMSI) in delivered products until paid in full, enforceable under applicable provincial law. Eddi’s may repossess unpaid inventory.
8. PRODUCT USE AND INTELLECTUAL PROPERTY - Customer may resell products only through owned or leased physical retail locations. Customer must not alter packaging and must follow safety guidelines. Eddi’sretains all intellectual property rights. Pricing is strictly confidential.
9. LIMITATION OF LIABILITY - Technical advice is provided as an accommodation without warranty. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Eddi’s DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE. Eddi’s IS NOT LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS. TOTAL LIABILITY WILL NOT EXCEED THE COST OF THE DISPUTED PRODUCT OR THE TOTAL AMOUNT PAID IN THE PRECEDING THREE MONTHS, WHICHEVER IS LESS.
10. TRADE COMPLIANCE - Customer warrants strict compliance with Canadian export controls, economic sanctions, and anti-money laundering laws. Customer will not divert products to sanctioned targets.
11. GOVERNING LAW - British Columbia law and federal Canadian law govern this agreement. Actions must be filed in BC courts. The UN Convention on Contracts for the International Sale of Goods is excluded. Invalid provisions do not invalidate the remainder.
12. HST, QUEBEC SALES TAX, AND PESTICIDE LICENSE - HST is charged on all orders in Ontario, Nova Scotia, New Brunswick and Newfoundland. We require a Quebec sales tax number upon completion of a credit application.
The use of pesticides in Canada is regulated by the Pest Management Regulatory Agency, a division of Health Canada via the Pest Control Products Act. In Canada, pesticide regulation is under the shared authority of the federal, provincial, territorial governments as well as municipal entities. The use, manufacture, storage, distribution, application, sale, and labeling of pest control products is governed by various Acts, regulations, guidelines, directives and by-laws. Health Canada works with provincial, territorial and federal departments in Canada to help refine and strengthen pesticide regulation across the country. 13. ADDITIONAL AGREEMENTS - Any services beyond standard operational scope will be addressed through separate service agreement and may include additional terms, conditions, and fees. This includes the CHEP PALLET PROGRAM.
